Terms of Use
The Institute for Law and Economics (“ILE”) Women in Business Law (“WIBLI”) site is provided by WIBLI and is designed to facilitate communication among members for personal or WIBLI purposes. Information available through the WIBLI site may be used for specific personal and WIBLI-related purposes only.
I. Privacy and Security
Neither ILE, WIBLI, nor the Law School has not, does not and will never sell WIBLI member information to anyone. All WIBLI member information is strictly guarded for use by individual WIBLI members and WIBLI administration for personal or WIBLI-related purposes.
WIBLI has taken all reasonable precautions to secure the personal information available through the WIBLI site. The WIBLI site is password protected to allow access by registered WIBLI members and administrators only. Although this precaution should effectively protect any personal information available through the WIBLI site from abuse or outside interference, a certain degree of privacy risk is faced any time information is shared over the Internet. [Therefore, through the Directory feature of the WIBLI site, you have the ability to hide your information from being viewed by other community members.]
II. Policy and Guidelines for Proper Use
To safeguard the operation of the WIBLI site, WIBLI has adopted many guidelines and policies that are used by the University of Pennsylvania and, more specifically, the University of Pennsylvania Carey Law School, to govern conduct, particularly conduct that occurs in an Online environment. In addition to the Law School's policies and guidelines, users of the WIBLI site must abide by the following specific rules and regulations:
A. Unauthorized copying, reproduction, republishing, uploading, downloading, posting, transmitting or duplicating any of the material is prohibited. You may download or copy any downloadable materials displayed on the WIBLI site for home, noncommercial and personal use only; provided, however, that you maintain all copyright, trademark and other notices contained in such material and you agree to abide by all additional copyright notices or restrictions contained in any material accessed through the WIBLI site.
Copyrighted material, including without limitation software, graphics, text, photographs, sound, video, and musical recordings, may not be placed on the site without the express permission of the owner of the copyright in the material, or other legal entitlement to use the material. WIBLI administrators reserve the right to remove content of which it becomes aware that violates the previously stated rules, but is under no obligation to do so.
B. Because ILE and WIBLI are organized through the Law School, a nonprofit, tax-exempt organization, use of information or communications available through the WIBLI site for any commercial, public or political purposes is prohibited.
Other prohibited activities include, but are not limited to:
- Solicitations, cold-calling of any kind or mass-mailings for commercial purposes
- Use of abusive, defamatory, profane, or threatening language or content of any kind
- Statements that are bigoted, hateful, or racially offensive
- Content that discusses illegal activities with the intent to commit them
- Content that infringes another's intellectual property, including, but not limited to, copyrights, trademarks, or trade secrets
- Material or postings that contains vulgar or obscene language or images
- Uploading, transmitting, distributing or otherwise publishing any materials containing a virus or other harmful components
- Restricting or inhibiting any other user from enjoying any service on the WIBLI site
D. Users shall not access nor attempt to access any other user's account, nor misrepresent or attempt to misrepresent their own identity while using the WIBLI site.
Neither ILE, WIBLI, the Law School, nor any of its administrators are responsible for screening communications in advance, and neither ILE, WIBLI, the Law School nor any of its administrators will actively monitor the use of the WIBLI site. For this reason, it is essential that the alumni users of the WIBLI site report any abuses or misuse of the WIBLI site to its administrators. If the WIBLI administrators, after consultation with ILE’s Directors, determines that a user's participation in creates a liability for the Law School or that the user has violated the policies set forth herein, the Law School reserves the right, in its sole discretion, to take actions against the user. WIBLI reserves the right to expel a user and deny a user further access to the WIBLI site if such user violates these policies or any applicable laws or regulations.
III. Managing Content
So long as you comply with the Policy and Guidelines for Proper Use (above) and all other restrictions contained in these Terms of Use, you may post on the WIBLI site any content owned by you (such as your original statements), content for which you have received express permission from the owner, and content in the public domain. You assume all risk and responsibility for determining whether any content is in the public domain. You grant to the Law School an irrevocable, perpetual, non-exclusive, fully-paid, worldwide license to use, edit, copy, publish, display, distribute, translate and otherwise use in any medium any content that you place on the WIBLI site without compensation to you. You represent and warrant that you are authorized to grant all rights set forth in the preceding sentence. Neither ILE, WIBLI, the Law School, nor any of its administrators, does not and cannot review all content posted on the WIBLI site by each person or entity using the WIBLI site and is not responsible for such content. However, ILE, WIBLI, and the Law School reserve the right to delete, move or edit any content that it may determine, in its sole discretion, violates these Terms of Use or is otherwise unacceptable. You are and shall remain solely responsible for all content you post on the WIBLI site. You can be held legally liable for all content you post on the WIBLI site. Without limiting the foregoing, you may be held legally accountable if any content you post on the WIBLI site includes, for example, material protected by copyright, trademark, patent or trade secret law without the permission of the author or owner, or defamatory comments. The Law School is not responsible for any loss of data resulting from network or system outages, file corruption or any other reasons.
III. Liability and Indemnity
The reliability of the information available through the WIBLI site is largely dependent upon the actions of community registrants. WIBLI can make no representations about the accuracy, reliability, completeness, or timeliness of this information.
The Law School does not warrant that the WIBLI site will operate error-free or that the site and its server are free of computer viruses or other harmful material. To the fullest extent permitted by the law, the Law School disclaims all warranties, including the warranties of merchantability, non-infringement, and fitness for particular purpose. In no event shall the Law School be liable for any damages whatsoever, including, without limitation, incidental, consequential, or punitive damages, resulting from the use of or inability to use information or materials available on the WIBLI site.
By using the WIBLI site, you agree to indemnify, defend, and hold harmless ILE, WIBLI, the Law School, and their respective agents from and against any and all losses, claims, damages, costs, and expenses that may arise from your use of the WIBLI site or your breach of these policies. The Law School will provide notice to you of any such action or claim, and reserves the right to participate, at our expense, in the investigation, settlement, and defense of any such action or claim.
Please note that WIBLI reserves the right to modify these terms at any time and will publish notice of any such modifications online at this site or elsewhere online. By continuing to access a site after notice of such modifications has been published, you signify your agreement to be bound by them. You should review the policies periodically to ensure that you are familiar with them.
Participation in the WIBLI site is a privilege. By clicking on the "Accept" button, you agree to abide by the WIBLI site policies outlined herein. If you cannot accept these policies, please click on the "Do Not Accept" button to indicate that you cannot accept the policies and do not wish to register as a user of the WIBLI site.
